EvalSystem Terms and Conditions

Please read these Terms and Conditions carefully before using the EvalSystem platform (“Service”). These Terms govern your access and use of the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service. You also agree to our Privacy Policy, which explains how we handle your personal data.

1. Interpretation and Definitions

Affiliate – an entity that controls, is controlled by, or is under common control with a party (control means ownership of 50% or more of voting shares).

4. Termination

We may terminate or suspend your access immediately, without prior notice, for any reason, including a breach of these Terms.

Upon termination, your right to use the Service ends immediately.

5. Limitation of Liability

To the maximum extent permitted by law:

  • Our liability and that of our suppliers is limited to the amount you paid for the Service, or $100 if you have not purchased anything.
  • We are not liable for special, incidental, indirect, or consequential damages, including loss of profits, data, or business interruption.
  • Some jurisdictions may not allow certain exclusions, in which case liability is limited to the greatest extent allowed by law.

6. “AS IS” and “AS AVAILABLE” Disclaimer

The Service is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind.

We make no representations that the Service will:

  • Operate uninterrupted or error-free
  • Be compatible with other software or systems

These Terms are governed by the laws of Ontario, Canada, excluding conflict-of-law rules. Your use of the Service may also be subject to other applicable local, state, national, or international laws.

8. Dispute Resolution

You agree to first attempt to resolve any disputes by contacting EvalSystem directly.

EU Users: You are entitled to the mandatory protections of your local consumer laws.

US Compliance: You represent that you are not located in a restricted country or listed as a prohibited party by the United States government.

9. Severability and Waiver

  • Severability: If any provision is unenforceable, the remainder of the Terms remains in effect.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.

10. Translation Interpretation

If a translation of these Terms is provided, the English version prevails in case of conflict.

11. Changes to Terms

We may modify or replace these Terms at any time.

  • Material changes: We will make reasonable efforts to provide 30 days’ notice.
  • By continuing to use the Service after changes, you accept the revised Terms.
